AMSOIL Preferred Customer Terms & Conditions

GENERAL

This Agreement, as well as all additional policies, terms and conditions referenced and incorporated throughout, all of which may be amended from time-to-time (collectively, the Terms), govern the AMSOIL Preferred Customer Program (Program). The AMSOIL Preferred Customer Program is a loyalty program offered to you by AMSOIL INC. (AMSOIL, we, us, our). By enrolling in the Program, you acknowledge that you have read, understood and accept to be bound by the Terms. AMSOIL reserves the right to modify these Terms . Non-material changes to these Terms will be effective immediately upon posting at AMSOIL.ca/pc, and your continued participation in the Program constitutes your acceptance to such modifications. Material changes to these Terms will become effective after providing no less than thirty (30) days' prior written notice to you. These Terms constitute a legally binding agreement between AMSOIL and each individual who enrolls in the Program. Accordingly, you expressly represent and warrant that you are eligible for the Program (as described below) and will otherwise comply with these Terms. If you do not agree to all of the Terms now or at any point in the future, or you become ineligible for the Program, please contact AMSOIL Customer Service at 1-800-777-7094 (7 a.m. to 7 p.m. Central) or [email protected] to terminate your membership account.


ELIGIBILITY

The Program is only open to individual Canadian residents who have reached the age of majority in their province/ territory of residence. Membership is available only to natural persons and the following are ineligible: our employees, our Dealers, corporations, businesses, non-profit organizations, government agencies or other entities, and AMSOIL may disqualify any such entity discovered to be in the Program. The Program is intended for personal use only and any resellers are also expressly excluded from the Program. AMSOIL reserves the right, in its sole and absolute discretion, to require proof of eligibility to participate in this Program. Failure to provide such proof to the satisfaction of AMSOIL in a timely manner may result in disqualification from the Program. If you do not meet the eligibility criteria of this Program, you may not participate in the Program and earn Rewards. AMSOIL reserves the right to immediately and without notice cancel all rewards, credits and other benefits of being a Program member (collectively, Rewards) and delete the account of any ineligible member found participating in the Program.


MEMBERSHIP REQUIREMENTS

  • Eligible customers who enroll in the Program (referred to herein as Preferred Customer(s)) will each be assigned a unique identifier (Preferred Customer Number) which will be associated with his or her membership account ( Customer Account).
  • Each Preferred Customer may only have one Preferred Customer Account.
  • Your Preferred Customer Account is nontransferable.
  • All required information must be completed, including, but not limited to, email address, first and last name, physical address and telephone number.
  • Payment of the applicable membership fee is required to become a Preferred Customer.

ENROLLMENT PROCESS

Eligible customers can register: (i) by going to amsoil.ca/pc (the Website); or (ii) if available, register through one of our registered Dealers. All required information must be completed, including, but not limited to, email address, first and last name, physical address and telephone number. A Preferred Customer Account will not officially be created until you receive confirmation.


MEMBERSHIP FEE

The annual Membership fee is CA$30. A six-month trial Membership fee is CA$15. Membership fees are subject to taxation in accordance with applicable laws. The above stated Membership fees do not include applicable taxes. We may change Membership fees upon providing no less than thirty (30) days' prior written notice to you, but changes will apply only to new and renewal Memberships.

You may elect to have your annual Membership fee paid each year automatically by opting in and providing credit card information through your Preferred Customer Account. The annual automatic renewal fee is CA$25. The annual Membership fee will be billed automatically to the form of payment we currently have on file for you.

Membership fees are not refundable. However, we will refund the new or renewal Membership fees (as applicable) within thirty (30) days of the purchase date of the new or renewed Membership or the automatic renewal charge date of the Membership (as applicable) (i) if you did not use your Membership to obtain an eligible discount or benefit during the previously stated thirty (30) day period or (ii) if your Membership was renewed during your current Membership term and the renewal Membership term has not yet started.


PROGRAM REWARDS & BENEFITS

Save up to 25%.
Preferred Customers are eligible to receive up to 25% off standard retail online pricing. Preferred Customer savings will automatically be applied to purchases. Preferred Customers will NOT be reimbursed retroactively for purchases made without an active and available Membership at the time of purchase.

Free Shipping.
Preferred Customers will receive free shipping on qualified purchases that meet or exceed any applicable minimum purchase threshold. Free shipping will be automatically applied in the cart to qualified orders. Minimum purchase thresholds will vary from time to time. Limited-Time Promotions.
AMSOIL may, in its sole discretion, provide additional Program features and benefits to Preferred Customers, whether made available for a limited time or on a consistent basis. Preferred Customers will be presented with special promotional offers occasionally. Promotional Offers will be subject to the terms and conditions of each Promotional Offer. Refer to each individual promotion for qualifications and disclaimers, including, without limitation, qualifying purchases, additional charges and taxes and applicable expiration dates. Terms and conditions may be included in an email to applicable member or by such other method as determined by AMSOIL.

AMSOIL 5% off Rewards. Beginning July 1, 2022, you will receive a 5% off reward good for any purchase up to CA$100 every time you spend CA$100 on Qualifying Purchases. Qualifying Purchases are calculated after all discounts are applied, before shipping, fees or taxes are imposed, and do not include Membership fees (Qualifying Purchases). Up to four (4) rewards may be applied to one purchase.

Each reward can be redeemed only during its stated redemption period. The redemption period for reward will be ninety (90) days from issuance. All rewards automatically expire at the end of the redemption period. The redemption period for any rewards may be found online in your Preferred Customer Account. If products from a Qualifying Purchase that earns Rewards are subsequently returned, the balance of the Rewards previously earned will be reduced to reflect any unearned value.

Birthday $5 Reward.
Beginning July 1, 2022, a 5% off reward good for any purchase up to CA$100 on Qualifying Purchases will be emailed to Preferred Customers during their birth month. To qualify for your birthday reward, you must become a Preferred Customer at least fourteen (14) days prior to your birthday month and provide your birth month in your account information. If an account is opened during a Preferred Customer's birthday month, the 5% off reward will be sent the next calendar year. The 5% off birthday reward will automatically expire ninety (90) days from issuance. The expiration date may be found online in your Preferred Customer Account.

Free Membership Renewal.
Preferred Customers can earn a free 12-month Membership renewal by making at least CA$500 of Qualifying Purchases from AMSOIL in the six months or 12 months immediately following the opening or renewal of a Preferred Customer Account (for six- and 12-month Memberships, respectively), or in the 12 months immediately preceding the expiration of a legacy five-year Membership. AMSOIL will send an email to each Preferred Customer once the requirements for a free 12-month Membership have been satisfied. Free 12-month Membership renewals are nontransferable. The free 12-month Membership will begin immediately after a Preferred Customer's existing Membership expires.

P.C. Points (Discontinued).
We discontinued the P.C. Points on October 31, 2021. On June 1, 2022, any P.C. Points remaining in Preferred Customer accounts will be converted to CA$5 coupons as follows: 250 points = CA$5 coupon. All remaining balances will be rounded up to ensure all P.C. Points are converted (for example, an account with 100 P.C. Points will receive one CA$5 coupon and an account with 300 P.C. points will receive two CA$5 coupons).

AMSOIL CA$5 Rewards (Discontinued).
Beginning on July 1, 2022, we will discontinue issuing the CA$5 coupons. Any CA$5 coupons issued to Preferred Customers on or before July 1, 2022, will not expire and are redeemable until such time as a Preferred Customer's Membership expires without being renewed by the Preferred Customer or a Preferred Customer otherwise cancels his/her Membership. If the Preferred Customer's Membership expires or is cancelled, the Preferred Customer shall have ninety (90) days from the date of expiration or cancelation to redeem any remaining CA$5 coupons in their account.

Birthday CA$5 Rewards (Discontinued).
Beginning on July 1, 2022, we will discontinue issuing the CA$5 birthday coupons. Any CA$5 coupons issued to Preferred Customers on or before July 1, 2022, will not expire and are redeemable until such time as a Preferred Customer's Membership expires without being renewed by the Preferred Customer or a Preferred Customer otherwise cancels his/her Membership. If the Preferred Customer's Membership expires or is canceled, the Preferred Customer shall have ninety (90) days from the date of expiration or cancelation to redeem any remaining CA$5 coupons in their account.

Tracking and Verification.
Rewards will be automatically tracked and allocated to each Preferred Customer Account by AMSOIL in accordance with our official records. Rewards have no cash value and are not exchangeable for cash. Rewards have no value outside of this Program. Rewards cannot be assigned, exchanged, sold, traded, purchased, given by gift or otherwise transferred. Any Rewards so acquired are void.

All Rewards are subject to verification at any time for any reason. AMSOIL reserves the right, in our sole and absolute discretion, to invalidate any Rewards we deem to have been awarded in error, as the result of any fraudulent or dishonest activity or any activity not in keeping with these Terms, as interpreted by us in our sole and absolute discretion. Any Rewards that cannot be verified to the satisfaction of AMSOIL are subject to disqualification.


MARKETING AND PROMOTIONAL COMMUNICATIONS

By enrolling and participating in the Program, you acknowledge and agree to opt-in to receiving marketing and/or promotional communications through email and mail. If you no longer wish to receive such communications, you may unsubscribe or opt-out at any time by updating your communication preferences through your Account dashboard or by following the instructions contained in the individual marketing and/or promotional message. Please note, opting out of receiving marketing and/or promotional communications may change your available rewards and you will no longer be eligible for select Rewards. We may still send you transactional communications relating to your participation in the Program (e.g., administrative and service announcements).


PRIVACY

When you participate in the Program, we use your information in the manner described in our Privacy Policy. You may read our Privacy Policy by clicking on the Privacy Policy link where it appears on amsoil.ca.


ACCOUNT SECURITY

You will need your email address and password to access your Account on amsoil.ca. You are responsible for keeping the information you use to access your Account private and secure. If someone besides you learns your Account password to access your Account, then you will be responsible for any actions that person takes using your Account. You must notify us immediately if you believe your password may have been used by any unauthorized person or entity.


CHANGES TO THE PROGRAM

We may, in our sole discretion, modify the Program, Terms, Rewards, benefits, eligibility, requirements for earning and redeeming Rewards (including timing) or any other feature of the Program, or may end the Program or any particular Reward, in whole or in part at any time, with or without notice and without incurring any liability or obligation.

We will post any changes to these Terms on amsoil.ca and will indicate at the bottom of this page the date these Terms were last revised. A Preferred Customer's continued use of the Program following the posting of such changes constitutes his/her acceptance of and agreement to be legally bound by these Terms as revised. It is each Preferred Customer's responsibility to check these Terms from time to time to stay informed of any changes.

If we decide to end the Program or a specific Reward, we will attempt, but are not obligated, to provide you 90 days' prior notice either by emailing you at the email address associated with your Account or by posting a notice on amsoil.ca. However, our failure to notify you that we are ending the Program or that we are ending a specific Reward will not give you any right to require us to continue the Program or the specific Reward after the date we end the Program or the specific Reward. Neither will our failure to notify you obligate us to compensate you for any Rewards or benefits that you do not use before we end the Program or the specific Reward. If we end the Program, any Rewards and credits you have earned but not used will expire on the end date, and you may not redeem any Rewards or use any other benefits after the end date.

To the extent permitted by applicable law, when you enroll or renew your membership in the Program, you expressly waive your rights under any law that may require us to obtain judicial permission to change these Terms or to end the Program.


HOW AND WHEN MEMBERSHIP MAY END

You have the right to cancel your Membership at any time by:

Sending a letter to Preferred Customer Program, AMSOIL INC., 925 Tower Ave. Superior, WI 54880

As soon as you cancel your Program membership, AMSOIL will deactivate your Preferred Customer Account and you will forfeit all Rewards and benefits that you may have earned.

We reserve the right, in our sole discretion to deactivate or otherwise cancel your Preferred Customer Account if we reasonably believe that you are or become ineligible for the Program, that you have violated these Terms or the Preferred Customer Account has otherwise been flagged to be associated with fraudulent activity. We may cancel some or all of your earned Rewards and benefits if we determine that you received the Rewards or benefits due to an error, through fraud or deception, or in any manner inconsistent with these Terms. If your Membership is terminated or your Preferred Customer Account deactivated or otherwise canceled, all Rewards and benefits will automatically expire.


LIMITATION OF LIABILITY

By enrolling and participating in the Program, you agree that, to the fullest extent permitted by law, none of AMSOIL INC. and its subsidiaries, affiliates and their respective directors, officers, shareholders, employees and agents (the AMSOIL Parties) shall be liable to you for: (1) any claim, loss, injury, damage, delay, accident, cost or expense, including legal fees, arising out of or related to the Program, Rewards, these Terms or amsoil.ca; (2) any incidental, indirect, special, punitive, exemplary or consequential damages, arising out of or related to the Program, Rewards, these Terms or amsoil.ca, (3) any failure, delay or decision by the AMSOIL Parties in administering the Program; (4) any representation, claim, offer or statement we make about the Program; and (5) your use and acceptance of any Rewards you receive through the Program. You further agree that in no event will the AMSOIL Parties be liable to you for more than USD$50 in the aggregate on account of all wrongful acts or omissions by the AMSOIL Parties arising out of or relating to the Program, Rewards, these Terms or amsoil.ca.


NO WARRANTIES

AMSOIL makes no warranty of any kind regarding the Program, which is provided on an As-Is and As-Available basis. AMSOIL does not represent or warrant as to the accuracy or completeness of the information posted on amsoil.ca regarding the Program or otherwise, or that amsoil.ca will be available to you 100% of the time.


WHICH LAW CONTROLS

The laws of the State of Delaware, without regard to its conflict of laws rules, will govern these Terms, your registration and participation in the Program and our performance of our obligations under the Program. You agree to settle any action or dispute related to the Program or these Terms only in the state and federal courts of appropriate jurisdiction located in the State of Delaware.

If applicable law prohibits us from offering the Program to you, then you may not enroll in the Program. If applicable law prohibits us from offering you a feature of the Program, then we may either not offer you that feature of the Program or cancel your Account.


BINDING ARBITRATION

PLEASE READ THIS PROVISION OF THE AGREEMENT CAREFULLY. UNLESS YOU SEND US THE REJECTION NOTICE DESCRIBED IN THIS PROVISION, THIS PROVISION WILL APPLY TO YOU.

Any controversy or claim arising out of or relating to this Agreement or these Terms (including any breach thereof) or the Preferred Customer Program shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (including, without limitation, the Supplementary Procedures for Consumer-Related Disputes), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of any other party. The foregoing shall not preclude AMSOIL from seeking any injunctive relief in state or federal courts for protection of its respective intellectual property rights.

If you do not want this arbitration provision to apply, you must reject this arbitration provision by sending a written rejection notice to us at Preferred Customer Arbitration Opt-Out, AMSOIL INC., 925 Tower Ave. Superior, WI 54880. Your rejection notice must be mailed within 60 days of account opening. Your rejection notice must state that you reject the arbitration provision and include your name, address, Preferred Customer Number and personal signature. No one else may sign the rejection notice. Rejection of this arbitration provision won't affect your other rights or responsibilities under these Terms, including use of your Preferred Customer Account.

This arbitration provision shall survive changes to these Terms and termination of the Program, and the relationship between you and us. If any part of this arbitration provision is deemed invalid or unenforceable, the other terms shall remain in force, except that there can be no arbitration of a class or representative claim. This arbitration provision may not be amended, severed or waived, except as provided in these Terms or in a written agreement between you and us.


ENTIRE AGREEMENT

These Terms and other documents incorporated by reference into these Terms, constitute the entire agreement between the parties and set out all the covenants, promises, warranties, representations, conditions and agreements between the parties in connection with the subject matter of these Terms and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written, pre-contractual or otherwise. There are no covenants, promises, warranties, representations, conditions or other agreements, whether oral or written, pre-contractual or otherwise, express, implied or collateral, whether statutory or otherwise, between the parties in connection with the subject matter of these Terms except as specifically set forth in these Terms and any agreements or documents incorporated by reference into these Terms.
